The Math of the Disclosure Cycle

What used to take a month, finishes in an afternoon.

An OTC quarterly disclosure cycle, mapped to actual time spent. Each side is the same filing, with the same level of rigor, ending at the same EDGAR-ready output.

Traditional Process
Up to 30 days.
Per disclosure cycle, per quarter.
  • Days 1 to 3
Pull historical filings; collect last quarter financials from accounting; chase officer bios and address changes.
  • Days 4 to 8
Re-key financials from PDF or trial balance into the disclosure platform; cross-reference period comparatives by hand.
  • Days 9 to 14
Format iXBRL tagging; map every line item to US-GAAP concepts; reconcile calculation arcs.
  • Days 15 to 21
Send to outside counsel for review; consolidate redlines across email threads; address every comment manually.
  • Days 22 to 28
Run third-party validation; chase down DQC errors and namespace issues; iterate until clean.
  • Days 29 to 30
Sign-off circulation; export PDF; submit to EDGAR or OTCIQ.
With Market Fortress
A working session.
Same filing. Same rigor. Same EDGAR output.
  • STEP 01
Open the wizard. Vault auto-populates financials, equity, officers, exhibits, and certifications from your certified registers.
  • STEP 02
AI Filing Concierge walks each section. Streaming, section-by-section. You approve or rewrite. Audit trail freezes per section.
  • STEP 03
Six-layer validation runs in real time. Auto-fix engine resolves the eleven most common categories of error in one click.
  • STEP 04
Counsel and CFO add inline threaded comments. Multi-role sign-off is captured in the database, not on email threads.
  • STEP 05
PDF export with comment appendix and approval badges. iXBRL/EDGAR HTML output with proper SGML envelope and 2026 schema refs.
An OTC quarterly disclosure cycle used to consume an entire month of my life. Pulling historical filings, re-keying financials, formatting iXBRL, chasing counsel redlines through email. Market Fortress is built to collapse the same workflow into a working session, with the same rigor and the same EDGAR-ready output, because every wizard reads from a certified Vault instead of restarting each quarter.
On the design intent behind Filing Drafts and the AI Filing Concierge.
AI Filing Concierge

The Concierge interviews you. It writes the draft.

Section-by-section, with streaming output, an audit trail per section, and edit-in-place control. Every paragraph is grounded in your certified Vault, the routing decision is logged, and the prompt version is frozen so the run is fully replayable.

S-123 sections

Full Reg S-K coverage. Risk factors, MD&A, executive compensation, beneficial ownership, business description, principal stockholders, plan of distribution.

F-124 sections

S-1 plus Enforceability of Civil Liabilities for foreign private issuers. Tax disclosure deltas and home-country regulatory framework sections.

Reg A14 sections

Tier 1 and Tier 2 variants. Offering circular structure with use-of-proceeds, dilution, and qualified-investor disclosures.

1-K14 sections

Reg A annual report under Rule 257(b)(1). Items 1 through 9 plus signatures and industry-specific disclosures. Tier-aware factory.

1-SA11 sections

Reg A semiannual report under Rule 257(b)(3). Delta-from-1-K drafting: surfaces only material changes since the most recent annual.

1-U11 sections

Reg A current event report. Trigger selector routes to Items 1.01 through 1.07 plus Item 9 catch-all and subsequent events.

12b-256 sections

Late-filing notification (NT 10-K, NT 10-Q, NT 20-F, NT 11-K, NT N-SAR). Rule 12b-25(b)(2) extension test built in.

What it does
  • ·Pulls issuer context, business description, financial periods, and cap table from the Vault into every section.
  • ·Streams generated narrative section-by-section. You read as it writes.
  • ·Lock-as-you-go. Each locked section freezes the vault snapshot, the AI routing decision, and the prompt version.
  • ·Edit-in-place at any time. Regenerate with new instructions when you want a different angle.
  • ·Counsel handoff package. Every locked section, every comment, every approval, exported as a single document.
Where it draws the line

The Concierge produces a counsel-ready draft. It does not submit to EDGAR on your behalf, and it does not replace counsel sign-off.

Every section ships with the source citations the model used and the routing decision (public Gemini path vs Vertex AI VPC for material non-public information). Your counsel receives a draft they can defend, not a black-box output.

Concierge end-to-end coverage: S-1 (23 sections), F-1 (24 sections), Regulation A Tier 1 and Tier 2 (14 sections), Form 1-K (14 sections), Form 1-SA (11 sections), Form 1-U (11 trigger-aware sections), and Form 12b-25 / NT (6 sections). All section plans are routed through an Issuer Classification system that adapts prompts to GICS sector, industry vertical (REIT, mining, oil and gas, banking, biotech), capital structure, lifecycle stage, and special status (going concern, material weakness, recent acquisition).

Validation Pipeline

Six layers of validation. Pre-clear EDGAR.

Every draft runs through a six-layer validation pipeline that mirrors the checks EDGAR runs at submission, layered with our own. The auto-fix engine resolves the eleven most common categories of error in a single click and stores reversible changes for audit.

01Metadata

CIK, company name, form type, DEI tags, required exhibits. Catches structural gaps before downstream layers see them.

02EDGAR

Per the EDGAR Filer Manual Volume II. UTF-8/ASCII compliance, file size limits, forbidden characters, form-specific deadlines.

03Taxonomy

2026 US-GAAP, DEI, IFRS, and SRT taxonomies. Concept validity, axis and member usage, deprecated concept detection, unit attributes.

04iXBRL

Per EDGAR XBRL Guide January 2026 and iXBRL 1.1. Header structure, context refs, unit refs, footnotes, calculation arcs, namespaces.

05DQC

XBRL US Data Quality Committee rules version 28.0.6 (January 2026). Negative-value checks, period end consistency, fiscal period focus, decimal accuracy.

06Arelle

Deep XBRL validation through the Arelle reference implementation, the same processor used by the SEC. Final pass before submission.

Auto-Fix Engine

Eleven validation rule categories. One click to resolve.

Missing CIK or company name. Deprecated XBRL concepts. Orphaned context references. Negative-value DQC violations. Period end inconsistencies. Decimal accuracy. Cover-page Exhibit 104 generation. CTR letter auto-generation. The auto-fix engine identifies which issues are programmatically resolvable, applies the change, and stores a reversible audit trail for counsel review.

Vault Pre-Population

You verify. You don’t re-type.

Thirteen Tier 1 Vault registers feed every wizard. Financials, equity, officers, exhibits, certifications. One click pre-fills every field that the Vault already certifies. A “Prefilled from Vault” badge appears on every populated input so counsel and CFO can see, at a glance, what came from where.

Collaboration & Counsel Review

Counsel works inside the draft. Not the inbox.

Inline threaded comments. Multi-role sign-off captured in the database. PDF export with comment appendix and approval badges. The redline is the database, not an email thread.

Inline Threaded Comments

Anchored to the section. Threaded replies. @mention any team member. Resolve and unresolve. Soft-delete preserves audit history.

Multi-Role Sign-Off

External Counsel, CFO, CEO, General Counsel, Compliance. Each role assigned, each approval timestamped, status tracked from pending to approved or rejected.

PDF Export With Audit

Branded cover page with approval badges. Comments appendix with author, date, section, and resolution status. Confidential-draft watermark, removed automatically when filed.
